User Agreement

1 Legal Information & Contact

This User Agreement ("Agreement") is entered into between SpaceZ LLC ("Company", "we", "us", or "our") and the user ("User", "you", or "your") of the SpaceZ shipping platform.

2 Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

• "Platform" - The SpaceZ website, mobile application, and all related services.
• "Shipper" - Any individual or entity that posts shipment requests on the Platform.
• "Carrier" - Any individual or company registered to provide transportation services through the Platform.
• "Load" - Any cargo, freight, or shipment posted on the Platform for transportation.
• "Booking" - A confirmed arrangement between a Shipper and Carrier for transportation services.
• "Commission" - The service fee charged by SpaceZ for facilitating transactions.
• "Dedicated Load" - Exclusive shipments requiring specialized handling or equipment.

3 Nature of Services

SpaceZ operates as a technology platform that connects Shippers with Carriers. We facilitate the arrangement of transportation services but do not directly provide shipping, freight, or logistics services.

Our Services Include:

• Providing a platform for posting and accepting shipment requests
• Facilitating communication between Shippers and Carriers
• Processing payments and managing transactions
• Offering tracking and monitoring tools
• Providing dispute resolution assistance
• Maintaining user ratings and reviews

4 Access and Membership

To access and use the SpaceZ Platform, users must meet the following requirements:

For All Users:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Agree to these Terms and our Privacy Policy

For Carriers (Additional Requirements):

• Valid USDOT number and MC authority (where applicable)
• Active commercial auto liability insurance (minimum $1,000,000)
• Cargo insurance (minimum $100,000)
• Valid driver's license and CDL (where required)
• Clean safety record with satisfactory FMCSA ratings

5 Commission System

SpaceZ charges a commission fee for successfully completed transactions. The commission structure is as follows:

6 Cancellation Policy

Users may cancel bookings subject to the following conditions and fees:

Shipper Cancellations:

• More than 48 hours before pickup: Full refund minus 2% processing fee
• 24-48 hours before pickup: 75% refund
• Less than 24 hours before pickup: 50% refund
• After carrier dispatch: No refund

Carrier Cancellations:

• More than 24 hours before pickup: No penalty
• Less than 24 hours before pickup: Warning issued
• After accepting load: Potential account suspension
• Repeated cancellations: May result in permanent ban

7 Tracking & Penalties

SpaceZ implements a comprehensive tracking and penalty system to ensure service quality:

Performance Tracking:

• On-time pickup and delivery rates
• Customer satisfaction ratings
• Communication responsiveness
• Dispute history
• Cancellation frequency

Penalty Structure:

8 Carrier Requirements

All Carriers using the SpaceZ Platform must maintain the following:

Documentation:

• Valid operating authority (MC number)
• Current USDOT registration
• Certificate of insurance on file
• W-9 form for tax purposes
• Valid driver documentation for all operators

Insurance Requirements:

• Auto Liability: Minimum $1,000,000 per occurrence
• Cargo Insurance: Minimum $100,000 per shipment
• General Liability: Minimum $500,000 (recommended)

Equipment Standards:

• All vehicles must pass DOT inspections
• GPS tracking capability required
• Proper securement equipment
• Clean and maintained vehicles

9 Dedicated Loads

Dedicated loads require special handling and are subject to additional terms:

Dedicated Load Categories:

• Oversized or overweight shipments
• Hazardous materials (HAZMAT)
• Temperature-controlled cargo
• High-value shipments (over $100,000)
• Time-critical deliveries

Additional Requirements:

• Pre-approval from SpaceZ operations team
• Additional insurance coverage may be required
• Specialized equipment verification
• Enhanced tracking and reporting

10 Client Obligations

All users of the SpaceZ Platform agree to the following obligations:

Shippers Must:

• Provide accurate shipment descriptions and dimensions
• Ensure cargo is properly packaged and ready for transport
• Disclose any hazardous or special handling requirements
• Be available for pickup within the scheduled window
• Pay agreed-upon rates in a timely manner
• Provide accurate pickup and delivery addresses

All Users Must:

• Maintain accurate and up-to-date account information
• Communicate promptly and professionally
• Report any issues or disputes within 48 hours
• Not circumvent platform fees or processes
• Respect intellectual property rights

11 Payments & Transactions

All financial transactions on SpaceZ are processed securely through our payment system:

Payment Terms:

• Shippers must provide valid payment method upon booking
• Funds are held in escrow until delivery confirmation
• Carriers receive payment within 3-5 business days of delivery
• All payments are processed in USD

Escrow Protection:

SpaceZ holds shipper payments in escrow to protect both parties. Funds are released to the carrier only after:

• Delivery confirmation by the shipper
• Successful completion of any inspection period
• Resolution of any disputes

12 Prohibited Activities

The following activities are strictly prohibited on the SpaceZ Platform:

• Providing false or misleading information
• Circumventing platform fees or payment systems
• Harassment or discrimination against other users
• Transporting illegal or prohibited goods
• Operating without proper licensing or insurance
• Manipulating ratings or reviews
• Sharing account credentials
• Using the platform for purposes other than shipping services
• Attempting to hack or compromise platform security
• Soliciting users for off-platform transactions

13 Limitation of Liability

To the maximum extent permitted by applicable law:

• SpaceZ shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid to SpaceZ in the 12 months preceding the claim
• We are not responsible for the actions, errors, or omissions of Carriers or Shippers
• SpaceZ does not guarantee the availability, reliability, or accuracy of the Platform
• We are not liable for delays, damages, or losses during transportation

Insurance and Claims:

Users are encouraged to obtain appropriate insurance coverage. SpaceZ may assist in dispute resolution but is not an insurer or guarantor of shipments.

14 Legal Provisions

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions.

Dispute Resolution:

Any disputes arising from this Agreement shall first be submitted to mediation. If mediation is unsuccessful, disputes shall be resolved through binding arbitration in Hartford, Connecticut.

Severability:

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Modifications:

SpaceZ reserves the right to modify this Agreement at any time. Users will be notified of material changes via email or platform notification. Continued use of the Platform after changes constitutes acceptance.

Entire Agreement:

This Agreement, together with our Privacy Policy and any additional terms, constitutes the entire agreement between you and SpaceZ regarding the use of our Platform.
